1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and Core Alpha Services FZ-LLC ("Core Alpha," "we," "us," or "our"), governing your access to and use of corealphaservices.com and all associated content, tools, and resources (collectively, the "Site").

By accessing or using the Site in any manner, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must discontinue use of the Site.

We reserve the right to revise these Terms at any time. Changes take effect immediately upon posting and are reflected in the "Last Reviewed" date above. Your continued use of the Site following any update constitutes acceptance of the revised Terms.

2. Intellectual Property Rights

Unless expressly stated otherwise, the Site and all of its contents are owned by or licensed to Core Alpha Services FZ-LLC and are protected under applicable intellectual property laws, including copyright, trademark, and trade secret law. Protected materials include, without limitation, website design and layout, source code, written content, graphics, logos, service descriptions, proprietary methodologies and documentation, and all derivative works thereof.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view Site content for your personal or internal business evaluation purposes only. No content may be reproduced, copied, modified, distributed, sold, sublicensed, publicly displayed, or otherwise exploited without our prior written consent.

3. Our Services, Portfolio, and Affiliated Products

The Site describes our consulting and development services and references digital products we have designed, built, or independently operate as portfolio examples of our work, including Malegado (language learning) and Scolarai (AI-powered e-learning). Each such product maintains its own separate Terms and Conditions and Privacy Policy governing its end users; nothing in these Terms governs your use of those products. Where a portfolio entry describes work delivered for a third-party client, all trademarks, names, and materials belonging to that client remain their property and are referenced solely for illustrative purposes.

Case studies, service descriptions, and results referenced on the Site reflect past engagements and are provided for illustrative purposes only. Results described are not guaranteed and may not be representative of outcomes achievable by other organizations.

4. Client Engagements Governed Separately

Any actual consulting, development, or platform-delivery engagement with Core Alpha, including scope, pricing, intellectual property ownership or licensing of deliverables, confidentiality, and support terms, is governed exclusively by a signed Master Services Agreement (MSA) and/or Statement of Work (SOW) between Core Alpha and the client. Submitting an inquiry through this Site does not create any service obligation, partnership, or contractual relationship; it is a first step toward a proposal, subject to mutual agreement on separate terms.

5. User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity and authority to enter into these Terms, either on your own behalf or on behalf of the organization you represent.
• You will not access the Site through automated means, including bots, scrapers, or crawlers, except as expressly permitted by us in writing.
• All information you submit to us, including through our contact form, is truthful, accurate, and current.
• Your use of the Site will comply with all applicable local, national, and international laws and regulations.
• You will not use the Site in any way that could harm, disable, overburden, or impair our infrastructure or the experience of other visitors.

6. Prohibited Activities

You agree not to:

• Use Site content for commercial purposes, competitive analysis, or to train AI models without our explicit written permission.
• Scrape, crawl, or systematically extract data or content from the Site by automated means.
• Attempt to gain unauthorized access to any portion of the Site, its servers, or connected systems.
• Upload or transmit viruses, malware, or any other malicious code.
• Engage in phishing, spoofing, or impersonating Core Alpha, its personnel, or any other person or entity.
• Circumvent, disable, or interfere with security features or access controls on the Site.
• Use the Site to send unsolicited commercial communications or spam.
• Reproduce, republish, or distribute Core Alpha content, including case studies or proprietary methodologies, without prior written consent.

Core Alpha reserves the right to investigate and take appropriate legal action against anyone who violates these prohibitions.

7. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services, including portfolio product sites and resources referenced in our content. These links are provided for your convenience only. Core Alpha does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site. Accessing a third-party site from a link on our Site is entirely at your own risk, and we encourage you to review that third party's own terms and privacy policy.

8. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, and protect your personal information. By using the Site, you consent to the collection and use of your information as described in our Privacy Policy.

9. Modifications and Interruptions

We reserve the right to change, update, suspend, or discontinue any portion of the Site at any time, with or without notice, at our sole discretion. Core Alpha will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site. We make reasonable efforts to minimize disruption but cannot guarantee uninterrupted access.

10. Disclaimer of Warranties

The Site and all content, tools, and resources available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Core Alpha disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on the Site is complete or current.

Nothing on the Site constitutes professional consulting advice. Engagement with Core Alpha as a service provider is governed exclusively by a separate written services agreement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Core Alpha Services FZ-LLC, its officers, directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from your use of, or inability to use, the Site. This limitation applies regardless of the legal theory under which such damages are sought. Our total aggregate liability arising from use of the Site (as distinct from any signed client agreement, which governs separately) shall not exceed AED 500.

12. Indemnification

You agree to defend, indemnify, and hold harmless Core Alpha Services FZ-LLC and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates and the regulations of the free zone in which Core Alpha Services FZ-LLC is registered. Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails to resolve the matter within 30 days of written notice, the dispute shall be submitted to the exclusive jurisdiction of the English-language, common-law courts of either the Abu Dhabi Global Market (ADGM) or the Dubai International Financial Centre (DIFC).

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
